Terms of service.
This Terms of Service Agreement (the "Agreement") governs your use of the services provided by Decima Medical Center, LLC ("Decima," "we," "us," or "our"). By accessing, using, or engaging with any of our services, products, or facilities, you ("Client" or "you") expressly agree to be bound by this Agreement. Please read the following terms carefully as they affect your legal rights. If you do not agree to these terms, you may not use Decima’s services.
THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER.
1. Acceptance of Terms
By visiting our website, booking appointments, purchasing services, or otherwise interacting with Decima, you acknowledge and agree to be legally bound by the terms and conditions set forth in this Agreement, as well as any other guidelines, rules, or policies that may be implemented by Decima from time to time. Your continued use of our services constitutes your acceptance of any changes to these Terms.
2. Scope of Services
Decima provides advanced medical treatments, including but not limited to stem cell therapy, peptide therapy, exosome therapy, and other regenerative medicine services. All treatments are subject to medical consultations and are customized based on individual Client needs.
2.1 Not Medical Advice
The information provided by Decima, including content on our website, promotional materials, and communications, is for informational purposes only and should not be construed as professional medical advice. Clients are responsible for consulting qualified healthcare professionals regarding any health-related questions or concerns.
2.2 Treatment Eligibility
Clients must provide accurate and complete medical history to our providers. Decima reserves the right to refuse treatment if it determines that a treatment is medically inappropriate, or if insufficient information is provided. All treatments are subject to medical clearance.
2.3 Experimental Therapies
Some treatments offered by Decima may be considered experimental or not yet fully approved by regulatory bodies. By agreeing to receive such treatments, you expressly acknowledge and accept the risks associated with experimental therapies and waive any claims related to their experimental nature.
3. Client Representations and Acknowledgments
3.1 Health and Medical Risks
By engaging in any medical treatments provided by Decima, you acknowledge that all medical procedures carry inherent risks, including but not limited to infection, adverse reactions, complications, and unforeseen outcomes. You accept that Decima has fully informed you of the potential risks, benefits, and alternatives to the treatments provided. You voluntarily assume all such risks.
3.2 No Guarantee of Results
Decima cannot guarantee any specific results from its treatments. Outcomes may vary from patient to patient based on individual factors, and no warranties are made as to the efficacy of any procedure.
4. Consultations and Medical Assessments
Clients must undergo a consultation with a Decima healthcare provider prior to receiving any treatment. This consultation assesses eligibility for treatment and informs Clients of expected results, risks, and post-treatment care.
4.1 Medical Determinations
All medical decisions, including treatment eligibility and suitability, are made at the sole discretion of Decima's healthcare providers based on your individual medical history and professional judgment.
5. Payment Terms and Billing
5.1 Fees for Services
All services are provided on a fee-for-service basis. Full payment for services, treatments, and consultations is required at the time of booking. Payment methods accepted include credit cards, bank transfers, and other forms of payment as made available by Decima.
5.2 Refund Policy
No refunds will be provided for any services once payment has been made, including for completed or partially completed treatments. Prepayments for future services are also non-refundable.
5.3 Rescheduling and Cancellations
Cancellations or rescheduling must be made at least two weeks (14 days) in advance of your scheduled appointment. No refunds or rescheduling will be allowed for cancellations made less than two weeks before the scheduled appointment. Failure to appear for an appointment or cancel within the two-week window will result in forfeiture of the full cost of the treatment.
5.4 Late or Non-Payment
Decima reserves the right to suspend or terminate future services for non-payment or late payment. Clients will be responsible for any collection costs incurred, including attorneys’ fees.
6. Client Responsibilities
6.1 Medical Disclosure
Clients are required to provide truthful and accurate medical history and information. Failure to provide accurate information may result in complications, and Decima is not responsible for any adverse outcomes caused by incomplete or incorrect information.
6.2 Compliance with Post-Treatment Instructions
Clients must comply with all pre-treatment and post-treatment instructions provided by Decima’s medical staff. Failure to follow these instructions may affect the success of the treatment, and Decima will not be responsible for any negative outcomes caused by non-compliance.
7. Privacy and Confidentiality
Decima is committed to protecting the privacy and confidentiality of your personal and medical information in accordance with applicable federal and state laws, including HIPAA.
7.1 HIPAA Compliance
Decima complies with all applicable regulations under the Health Insurance Portability and Accountability Act ("HIPAA") regarding the use and disclosure of your protected health information ("PHI"). Your PHI will only be shared with your consent, except as required or permitted by law.
7.2 Use of Client Data
By receiving services from Decima, you consent to the use of anonymized data for research, educational, or marketing purposes. Decima will not use any identifying information without your explicit written consent.
8. Liability and Indemnification
8.1 Limitation of Liability
To the fullest extent permitted by law, Decima Medical Center, LLC, its officers, directors, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to physical injury, emotional distress, loss of income, or any adverse outcomes arising from your use of our services, even if we were advised of the possibility of such damages.
8.2 Indemnification
You agree to indemnify, defend, and hold harmless Decima Medical Center, LLC, its officers, directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of Decima’s services, violation of this Agreement, or any applicable laws or regulations.
9. Intellectual Property Rights
All content, materials, and intellectual property provided by Decima, including text, images, graphics, logos, software, and documentation, are the property of Decima Medical Center, LLC. Unauthorized use, reproduction, or distribution of any content is strictly prohibited.
10. Dispute Resolution and Arbitration
10.1 Mandatory Arbitration
Any dispute, controversy, or claim arising out of or relating to this Agreement or the use of Decima’s services shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in [Insert City/State], and the arbitrator’s decision shall be enforceable in any court of competent jurisdiction.
10.2 Class Action Waiver
You expressly waive your right to participate in class action lawsuits or class-wide arbitration in connection with any dispute against Decima.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Florida.
12. Changes to the Terms
Decima reserves the right to update or modify this Agreement at any time without prior notice. Any changes to the Agreement will be posted on our website. Your continued use of Decima’s services constitutes acceptance of any modifications to these terms.
13. Termination of Services
Decima reserves the right to refuse or terminate services for any reason, including but not limited to failure to comply with these Terms, providing false or misleading information, or posing a risk to staff or other clients. Termination of services may occur without prior notice.
14. Force Majeure
Decima will not be held liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of terrorism, labor strikes, governmental actions, or other unforeseen events ("Force Majeure Event").
15. Miscellaneous Provisions
15.1 Severability
If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, the remainder of the Agreement shall continue in full force and effect.
15.2 Entire Agreement
This Agreement, along with any other guidelines, policies, or rules posted on Decima’s website, constitutes the entire agreement between you and Decima regarding the use of our services and supersedes any prior written or oral agreements.
15.3 No Waiver
Failure by Decima to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce such provision at any time.
